Terms of Service
These Terms are the agreement between you and Proofed for using ProofedAI. They cover your account, what you pay, what our AI and our editors do, and who is responsible for what.
Last updated:
The short version
- These Terms are an agreement between you and Proofed Inc., which runs ProofedAI.
- Our AI suggests changes. Check them before you use or publish anything. You decide what to keep, and you are responsible for the final text.
- A Proofed editor checks your document only if you buy a human review.
- You keep all rights in your documents and in the changes we make.
- Tokens cost $1 each and do not expire. If a document or fact-check fails, we give its tokens back. Within 14 days of buying tokens, you can ask us to refund the ones you have not used.
- If something goes wrong, our liability is limited to what you paid for the job in question.
- New York law applies.
This summary helps you find your way. The full text below is what applies.
1. Who we are and what these Terms cover
ProofedAI is an AI proofreading service at proofed.ai. Proofed Inc. (“Proofed,” “we,” “us” or “our”) runs it. Proofed is a Delaware company, file number 6566631, with its registered office at 8 The Green, Dover, DE 19901, USA. Proofed also runs proofed.com, a human proofreading and editing service.
These Terms of Service (“Terms”) cover the ProofedAI website and app, your account, our API, our MCP server and documents you send us by email. We call all of this “the Service.” By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal information. If you have a separate written contract with Proofed that covers ProofedAI, that contract wins where the two disagree.
2. Personal and business users
We have two types of users. “Business” users are companies, organizations and other entities, and the people who use the Service on their behalf. “Personal” users are individuals who use the Service for themselves and not for a business.
Some parts of these Terms apply to only one type of user, and they say so. Everything else applies to everyone. If you use the Service for a business, you confirm that you have the authority to accept these Terms for it.
If you are a personal user, the consumer laws where you live may give you rights that a contract cannot change. Nothing in these Terms takes those rights away.
3. Your account
You can create an account with your email address and a password, or with your Google account. Once you have an account, you can also log in with a one-time link we email to you.
- You must be at least 16 to use the Service. If you are under 18, a parent or guardian must agree to these Terms for you.
- Give us accurate details and keep them up to date.
- Keep your password, log-in links and API keys secret. You are responsible for what happens under your account and your keys.
- If you think someone else has used your account, tell us right away at ai@proofed.com.
You can turn on two-factor authentication in your settings. We recommend it.
4. What ProofedAI does
The Service does the following.
- Proofreading. Our AI proofreading service corrects spelling, grammar, punctuation and consistency in the language and dialect you choose. We mark each change in your own file and add a short note.
- Fact-checking. If you ask, we check the claims in a document against sources and tell you which ones hold up.
- Human review. If you pay for it, a Proofed editor checks the AI’s work. See section 6.
You can send us documents by uploading them on the website, by email from your account’s email address, through our REST API or through our MCP server. We accept DOCX, PDF, PPTX, ODT, HTML, EPUB, RTF and TXT files of up to 96 MB each. Some options, such as style guides and Hyperpowered, are switched on per account.
We keep improving the Service, so features can change. If a change means we cannot deliver something you have already paid for, we will refund it.
5. AI suggestions and your responsibility
Everything our AI produces, including corrections, notes, rewrites and fact-check reports, is a suggestion made by AI. AI makes mistakes. It can miss errors, suggest a wrong change or misjudge a claim, and the sources it relies on can be wrong or out of date.
- Review every result before you use, send or publish it. You decide which changes to keep.
- You are responsible for your final text and for how you use it.
- Human review is only included when you buy it for a document. Without it, nobody at Proofed checks the AI’s work before you get it.
- Our results are not legal, medical, financial or other professional advice.
- We make no promise about AI detectors. Their scores vary and are not a reliable sign of who wrote a text.
Our page on the EU AI Act and human review explains Article 50(4) of the Act. A Proofed editor checks your text for errors. That check on its own may not be the kind of review the Act describes. You or your organization keep editorial responsibility for what you publish. That page and these Terms are not legal advice.
6. Human review by a Proofed editor
You can buy a human review when you upload a document, or later from the document’s page. It costs $60 per 1,000 words, pro rata. You pay for the exact number of words, so a 3,420-word document costs $205.20. The smallest charge is $0.50, the least we can take by card.
After the AI proofread, we place an order with Proofed’s human editing service. A Proofed editor downloads your original and the AI’s version, checks the AI’s changes, fixes anything it missed and uploads the final file. You download it from your document’s page or through the API. Proofed’s editors are freelance professionals bound by confidentiality.
- You can cancel a document, and its human review, until the editor starts work. After that, the review cannot be canceled.
- If you cancel before the editor starts, or the review cannot go ahead, we refund your card payment.
- If the final file falls short of what we describe here, tell us within one week of delivery. We will look at it again promptly and put right anything that does not meet that standard.
7. Tokens, prices and payment
- Proofreading costs 1 token per 1,000 words, counting a part of 1,000 words as a whole. Every document costs at least 1 token.
- A fact-check costs 2 tokens per 1,000 words, counted the same way. A professional edit adds 2 tokens per 1,000 words. Hyperpowered costs 5 tokens per 1,000 words instead of 1.
- On the website, we show the word count and the cost before you send a document.
- New accounts get 10 free tokens.
- Tokens cost $1 each. We sell them in packs of 10, 100 or 1,000. A human review costs $60 per 1,000 words, pro rata.
- Prices are in US dollars. You pay once, by card. There is no subscription.
Card payments go through Stripe Checkout, a payment page run by Stripe. We never see or store your full card number. We add tokens to your balance when Stripe confirms the payment.
Tokens do not expire. They have no cash value. You cannot transfer them, sell them or exchange them for cash, except as section 8 allows.
We may change our prices. A change applies from the time we post it. It does not affect payments you have already made.
Business users who want to pay by invoice can ask us. Any invoicing terms will be agreed in writing.
8. Refunds
- Failed jobs. If a document or fact-check fails, we put its tokens back in your balance automatically.
- Human review. If a review you paid for cannot go ahead, or you cancel before the editor starts, we refund your card payment.
- Unused tokens. Within 14 days of buying tokens, you can ask us to refund the ones you have not used. Email ai@proofed.com. We refund to the card you paid with.
- Free tokens. Free tokens cannot be refunded or exchanged for cash.
- Problems with a result. If a result falls short because of a fault on our side, tell us within one week. We will look at it again, and either put it right or give the tokens back.
If you are a consumer in the EU or the UK, you can cancel a purchase within 14 days. If you use tokens, or a human review starts, within those 14 days, you are asking us to begin right away, and you lose the right to cancel for the part we have already provided.
9. Your content
You keep all rights in the documents and other content you send us. The corrections, notes and edited files we give you are yours too.
You give us permission to store, copy, process and send your content only as we need to run the Service. That means to proofread and fact-check it, to send it to our AI providers, to send it to a Proofed editor if you buy a human review, to keep it safe, to fix problems and to improve the Service as our Privacy Policy explains.
We never publish your content or share it publicly without your permission. Our AI providers do not use your documents to train their models under the terms we use them on.
We own the Service itself, including our software, our website and the ProofedAI and Proofed names. These Terms give you the right to use the Service, and no other rights in it.
10. Your promises to us
When you send us content, you promise that:
- you own it, or have permission to use it and to send it to us;
- it does not infringe anyone else’s rights and is not unlawful;
- if it contains personal information about other people, you have the right to share that information with us so we can process it as these Terms and our Privacy Policy describe.
You agree to cover Proofed for claims, losses and costs that arise because your content breaks these promises or because you break these Terms. If you are a personal user, this applies only as far as the law where you live allows.
11. What you must not do
You must not:
- use the Service to break the law, or help anyone else do so;
- send content that is unlawful, harassing or fraudulent, or that infringes someone else’s rights;
- upload malware or anything meant to harm the Service or other people;
- try to get into accounts, data or systems you are not allowed to reach, or test our security without our written permission;
- get around token charges, rate limits or other limits, or overload the Service;
- resell the Service, or give others access to it, without our written agreement;
- copy the Service, or use it to build a competing product.
12. API, MCP and email
- API keys. An API key acts for your account and spends your tokens. Keep it secret. You can revoke a key at any time in your settings. We may limit how many requests you can make.
- File links and webhooks. If you give us a link to a file, we fetch the file from it. If you give us a webhook address, we send results there. You are responsible for those addresses.
- MCP. When you connect an AI assistant, such as Claude or Cursor, to our MCP server, you log in and approve the connection. The assistant can then send us documents and spend your tokens. Its provider handles what you tell the assistant under its own terms.
- Email. Send documents from the email address on your account. We charge that account. We accept PDF, DOCX, ODT, RTF, HTML and TXT attachments. We may reject an email if we cannot confirm who sent it.
13. Confidentiality
We treat your documents, your results and the messages you send us about them as confidential. We protect them with our security measures and internal privacy rules, and we let people see them only when they need to. That means Proofed staff who help you or fix a problem, and a Proofed editor if you buy a human review. Everyone who can see them is bound by confidentiality.
This duty has no end date. It continues after your account closes.
14. Refusing work and closing accounts
We may refuse to work on a document for any reason, including inaccurate account details, plagiarism, unlawful or unethical content, or content we cannot usefully proofread. If we refuse a document, we give its tokens back.
We may suspend or close your account if you break these Terms or the law, or if we need to for security. We will tell you why, unless the law or a security risk stops us. If we close your account and you did nothing wrong, we refund the tokens you bought and have not used.
You can delete your account at any time in your settings, or by emailing ai@proofed.com. Deleting your account does not refund tokens, except as section 8 allows.
The parts of these Terms that should last beyond your account, such as those on your content, confidentiality, liability and disputes, continue after it closes.
15. Warranties and liability
We provide the Service with reasonable care and skill. Apart from that, and as far as the law allows, we provide it “as is.” We do not promise that it will always be available, that it will be free of errors or that its results will suit a particular purpose. Maintenance, updates and outages at our providers can interrupt it, and jobs can take longer when we are busy.
As far as the law allows:
- our total liability for any claim is limited to direct losses, up to the amount you paid for the document, fact-check or human review the claim is about. If a claim is not about one of these, our liability is limited to the amount you paid us in the 12 months before the claim;
- we are not liable for indirect, incidental or consequential losses, lost profits or lost data;
- we are not liable for errors that were already in your original document, or for what you publish.
Nothing in these Terms limits liability that the law does not allow us to limit, such as liability for fraud, or for death or personal injury caused by negligence.
16. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you have a problem, email legal@proofed.com first. Most problems can be settled that way.
Business users. Any controversy, dispute or claim arising from or relating to these Terms or the Service will be resolved only by binding arbitration in New York City under the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator’s decision is final and binding and is not subject to appeal or judicial review. Each party pays its own costs and fees.
Personal users. Any legal action will take place in the courts of the State of New York. If you are a consumer and the law where you live gives you the right to bring a claim in your local courts, or to rely on its consumer protection rules, you keep that right.
If a court or arbitrator finds part of these Terms unenforceable, that part is separated from the rest, and the rest still applies.
17. Publicity
We may name business users as ProofedAI customers, for example on our website. Tell us if you would rather we did not. We use a personal user’s name or details in our marketing only with that person’s explicit permission.
18. Changes to these Terms
We may update these Terms. When we do, we will post the new version on this page and change the date at the top. If a change is significant, we will also tell account holders by email or in the app before it takes effect.
If you keep using the Service after a change takes effect, the new Terms apply. If you do not agree to them, stop using the Service and delete your account.
19. General
- These Terms, our Privacy Policy and anything we show you when you buy are the whole agreement between you and us about the Service.
- You may not transfer your rights under these Terms without our written agreement. We may transfer ours, for example if Proofed is bought by, or merges with, another company.
- If we do not enforce a right immediately, we can still enforce it later.
